These Terms and Conditions (“Agreement”) govern your use of the services provided by Be Musix (“we”, “us”, “our”), a digital music distribution service provider. By signing up for or using our services, you (“you”, “your”, “User”, or “Artist”) agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old, or the legal age of majority in your jurisdiction, and capable of entering into a legally binding agreement. If you are using our services on behalf of an entity, you represent that you have the authority to bind that entity.

2. Services Provided

Be Musix provides digital music distribution services, enabling users to distribute their audio content to digital platforms including, but not limited to, Spotify, Apple Music, Amazon Music, YouTube Music, and Deezer.

3. Content Ownership and License

• You retain full ownership of your uploaded content.
• You grant Be Musix a non-exclusive, worldwide, royalty-free license to:
  • Distribute, promote, and monetize your content.
  • Use your name, logo, artwork, and metadata for distribution purposes.
• You represent and warrant that you own or control all rights necessary to grant this license.

4. Royalties and Payments

• Royalties are based on net revenue received from digital platforms.
• Payments will be made monthly, with a minimum payout threshold of 50 USD.
• You must provide accurate payment and tax information to receive payments.
• Be Musix is not responsible for delays due to incomplete or inaccurate payment details.

5. Refund Policy

Be Musix operates under a no-refund policy for services rendered, including but not limited to distribution fees, administrative fees, and promotional services. Exceptions may be made only at our sole discretion in cases of system errors or duplicate charges.

6. Dispute Resolution

If a dispute arises between you and Be Musix, we encourage you to contact us first to seek a resolution. If the issue is not resolved informally, it shall be settled through binding arbitration under the laws of Bangladesh, and you waive any right to a jury trial or class action suit.

7. User Obligations

You agree not to:

• Upload content you do not own or control.
• Distribute fraudulent, misleading, infringing, or unlawful content.
• Manipulate streams, downloads, or royalties through artificial means (bots, farms, click fraud, etc.).

Violation of these obligations may lead to account suspension, content removal, and legal action.

8. Content Takedown and Termination

• We may remove any content that violates these Terms or platform policies.
• You may request removal of your content at any time.
• Upon termination, distribution will cease within a commercially reasonable period.

9. Limitation of Liability

Be Musix is not liable for indirect, incidental, or consequential damages including loss of revenue, data, or reputation. Our liability is limited to the total amount paid to you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Be Musix and its affiliates from any claims, damages, or legal actions arising from your breach of this Agreement or misuse of our services.

11. Modifications to Terms

We may revise these Terms at any time by posting updated terms on our website. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.

12. Privacy Policy

Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using our services, you consent to our data practices as described.

13. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes shall be resolved exclusively in the courts of Bangladesh.
